End User License Agreement

Please read this End User License Agreement carefully before using ZenWapp.

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to herein as "You" or "User") and NEXINVATE YAZILIM VE TEKNOLOJİ TİCARET LİMİTED ŞİRKETİ ("Company", "We", "Us", or "Our") for the use of the ZenWapp software application, including any associated media, printed materials, and online or electronic documentation (collectively, the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. License Grant

Subject to the terms of this EULA, the Company grants You a limited, non-exclusive, non-transferable, revocable license to use the ZenWapp Software solely for Your internal business purposes in accordance with the applicable subscription plan.

This license allows You to:

  • Access and use the ZenWapp application through the Bitrix24 Marketplace integration or web interface
  • Use the features included in Your subscription plan
  • Connect WhatsApp Business accounts as permitted by Your plan
  • Store and manage customer communication data within the platform

2. Restrictions on Use

You shall not:

  • Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Software or any part thereof
  • Sublicense, rent, lease, sell, or otherwise transfer the Software or access rights to any third party
  • Remove or alter any proprietary notices, labels, or marks on the Software
  • Use the Software to send spam, unsolicited messages, or any content that violates applicable laws
  • Use the Software in any manner that could damage, disable, overburden, or impair the service
  • Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Software
  • Use automated bots, scrapers, or similar tools to interact with the Software beyond its intended API

3. Intellectual Property Rights

The Software, including but not limited to all code, graphics, user interfaces, images, trademarks, logos, and documentation, is the exclusive property of NEXINVATE YAZILIM VE TEKNOLOJİ TİCARET LİMİTED ŞİRKETİ and is protected by copyright, trademark, and other intellectual property laws.

This EULA does not grant You any ownership interest in the Software, but only a limited right of use revocable in accordance with the terms of this EULA.

4. Subscription and Payment

  • Access to ZenWapp requires an active subscription plan
  • Subscription fees are billed monthly or annually as selected by You
  • All prices are listed on our website and may be subject to change with 30 days' prior notice
  • Failure to pay may result in suspension or termination of Your account
  • Refunds are handled according to our Refund Policy available at zenwapp.com/refund-policy

5. Data and Privacy

Your use of the Software is also governed by our Privacy Policy, available at zenwapp.com/en/privacy.

By using ZenWapp, You acknowledge and agree that:

  • We may collect and process data as described in our Privacy Policy
  • You are responsible for obtaining proper consent from Your customers for communication through WhatsApp
  • You will comply with all applicable data protection laws, including GDPR and KVKK where applicable
  • Customer message data is encrypted and stored securely

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Company does not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

The Company's total liability shall not exceed the amount You have paid for the Software during the twelve (12) months preceding the claim.

8. Termination

This EULA is effective until terminated. It may be terminated under the following conditions:

  • You may terminate this EULA at any time by ceasing to use the Software and canceling Your subscription
  • The Company may terminate this EULA immediately if You breach any term of this agreement
  • The Company may terminate the EULA with 30 days' notice for any reason
  • Non-payment of subscription fees for more than 15 days

Upon termination, Your right to use the Software ceases immediately. You may request export of Your data within 30 days of termination, after which data may be permanently deleted.

9. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or related to this EULA shall be subject to the exclusive jurisdiction of the Istanbul Courts and Enforcement Offices.

10. Changes to This EULA

The Company reserves the right to modify this EULA at any time. Changes will be communicated via email to the address associated with Your account or through in-app notifications. Continued use of the Software after such changes constitutes Your acceptance of the modified terms.
